Surpassing that the demurrer and alternative motion are procedurally improper, all three causes of action in the second amended complaint are adequately alleged and that breach of contract claim does not disclose on its face that it is necessarily time-barred. Any additional information that defendants believe they need about those causes of action can be obtained through discovery.
